§ 01

1. Introduction

These Terms and Conditions ("Terms", "Agreement") govern access to and use of JOY PeopleHR, including its website, web application, mobile applications, software, services, features, integrations and related services (collectively, the "Service").

JOY PeopleHR is operated by Joy Corporate Solutions Private Limited ("JOY", "Company", "we", "us" or "our").

By creating an account, purchasing a subscription, accessing the Service, or otherwise using JOY PeopleHR, the organization ("Customer", "you" or "your") agrees to be bound by these Terms.

If you are using JOY PeopleHR on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree with these Terms, you must not access or use the Service.

§ 02

2. Description of JOY PeopleHR

JOY PeopleHR is a cloud-based Human Resources Management and Payroll platform designed primarily for organizations operating in India.

Depending on the subscription or modules purchased, the Service may include:

Employee management

Organization and branch management

Attendance management

GPS-based attendance

Geofencing

Mobile check-in and check-out

Biometric attendance integrations

Shift and roster management

Attendance regularization

Leave management

Payroll processing

Salary and CTC management

EPF/PF calculations

ESIC calculations

Professional Tax calculations

TDS and income-tax related payroll calculations

Payslip generation

Bank disbursement files

Employee onboarding and offboarding

Employee document management

KYC/document submission

Employee asset management

Employee task management

Announcements and notifications

Expense and reimbursement functionality

Other modules or features introduced by JOY from time to time.

Certain features may be marked as beta, experimental, in development, unavailable, or subject to separate commercial terms.

JOY may modify, improve, add, remove, suspend or discontinue features from time to time.

§ 03

3. Eligibility

JOY PeopleHR is intended primarily for organizations, employers and authorized personnel managing employees.

The Customer is responsible for ensuring that:

it has the legal authority to use the Service;

it has appropriate authority to provide employee information to JOY;

employee information uploaded into the Service is accurate and lawful;

employees are appropriately informed about relevant processing activities;

the Customer complies with applicable employment, privacy, tax, payroll and other laws.

JOY PeopleHR is not intended to replace the Customer's legal, tax, payroll, accounting or employment-law advisors.

§ 04

4. Customer Account

Only authorized Customer administrators, particularly HR or other personnel designated by the Customer, may create employee accounts.

The Customer must ensure that:

each user has appropriate credentials;

passwords and authentication credentials are kept confidential;

accounts are not shared;

employees do not use another person's account;

access rights are assigned according to job responsibilities;

terminated or unauthorized personnel are promptly disabled;

suspicious or unauthorized access is reported to JOY.

The Customer is responsible for activity occurring through its accounts and authorized users, except to the extent caused by JOY's own breach of its obligations.

§ 05

5. Acceptable Use

The Customer and its users must not:

use JOY PeopleHR for unlawful purposes;

access accounts without authorization;

share account credentials;

attempt to bypass authentication or security controls;

reverse engineer, decompile or disassemble the software;

copy, reproduce or create derivative versions of the Service;

scrape or systematically extract data from the Service;

interfere with the operation of the Service;

introduce malware, viruses or malicious code;

conduct security testing without prior written authorization;

attempt unauthorized access to JOY infrastructure;

resell or sublicense the Service without written authorization;

use the Service to infringe intellectual-property rights;

upload unlawful or malicious material;

use the Service to violate another person's privacy or rights;

attempt to circumvent subscription, usage or access restrictions.

JOY may suspend access where reasonably necessary to protect the Service, its users, infrastructure or legal interests.

§ 06

6. Subscription Plans and Billing

JOY may offer different pricing models, including:

per-employee monthly subscriptions;

per-employee annual subscriptions;

module-based subscriptions;

enterprise or customized billing arrangements.

For medium and large organizations, JOY may calculate monthly charges based on the applicable employee count and issue an invoice to the Customer.

Pricing, employee-count calculations, billing periods, applicable modules and other commercial terms may be specified in the Customer's order, invoice, quotation, subscription page or commercial agreement.

All applicable taxes, including GST where applicable, may be charged in addition to the stated service fees.

§ 07

7. Payment Processing

JOY may use third-party payment service providers, including Razorpay, to process payments.

The Customer agrees to provide accurate billing and payment information.

Payment processing may be subject to the payment provider's own terms and policies.

JOY is not responsible for delays caused solely by banks, payment networks or third-party payment providers.

§ 08

8. 45-Day Evaluation and Refund

JOY may provide a 45-day evaluation period beginning from the date of the Customer's initial qualifying subscription payment.

The Customer may evaluate the Service during this period.

If the Customer decides that JOY PeopleHR is unsuitable and requests cancellation during the 45-day evaluation period:

the subscription will be cancelled;

access to the Service will be terminated immediately;

the Customer will be eligible for a 100% refund of the eligible initial subscription payment;

The refund will ordinarily be processed within 7–15 days, subject to payment-provider and banking processes.

The exact refund mechanism may be communicated by JOY at the time of cancellation.

After the 45-day evaluation period has expired, refunds are not automatically guaranteed. Any refund requested after that period may be reviewed manually by JOY Corporate Solutions and may be approved or rejected at its discretion.

§ 09

9. Cancellation

The Customer may request cancellation of its subscription.

Cancellation will normally become effective immediately once processed by JOY.

Except where the Customer qualifies for the 45-day evaluation refund or JOY expressly approves an exception:

unused subscription periods are not automatically refundable;

annual subscriptions are not automatically refundable;

cancellation does not automatically create an entitlement to a pro-rata refund;

Any exceptional refund is determined by JOY on a case-by-case basis.

§ 10

10. Data Following Cancellation

Following cancellation or termination:

Customer access will be disabled;

the Customer will have a period of 15 days to request or obtain available data exports;

after the applicable retention period, JOY may permanently delete Customer data from active systems;

deleted data may not be recoverable.

JOY may retain limited information where required by applicable law, regulatory requirements, dispute resolution, accounting, security or legitimate business purposes.

The detailed data-processing rules are contained in the JOY PeopleHR Data Processing Agreement.

§ 11

11. Payroll and Statutory Compliance Disclaimer

JOY PeopleHR provides payroll and statutory calculation functionality intended to assist organizations with payroll administration.

Features may include calculations relating to EPF/PF, ESIC, Professional Tax, TDS and other payroll components.

However:

JOY does not warrant or guarantee that every payroll calculation, statutory calculation, tax calculation, deduction, contribution, filing output or compliance result will be legally correct or applicable in every circumstance.

Payroll and statutory requirements may vary based on:

employee circumstances;

organization structure;

location;

salary structure;

applicable exemptions;

government notifications;

changes in law;

interpretation of legislation;

Customer-provided information.

The Customer remains responsible for:

maintaining accurate employee and payroll information;

reviewing payroll calculations;

verifying statutory applicability;

making required payments;

completing statutory filings;

complying with applicable employment, tax and payroll laws;

obtaining professional advice where appropriate.

JOY may update the Service when laws or statutory requirements change, but does not guarantee immediate implementation of every legislative or regulatory change.

§ 12

12. Attendance, GPS and Biometric Features

Where enabled by the Customer, JOY PeopleHR may support:

GPS-based attendance;

geofencing;

mobile check-in/check-out;

location verification;

biometric-machine integration;

face-based attendance;

attendance anomaly detection.

GPS/location processing through the mobile application is intended to occur in connection with attendance check-in and check-out as configured by the Customer.

The Customer is responsible for determining whether its use of attendance, location, biometric or face-related functionality complies with applicable employment, privacy and other laws.

§ 13

13. Employee Documents

JOY PeopleHR may allow Customers to collect and store documents including identity documents, employment records, payroll-related documents and other HR records.

The Customer is responsible for:

determining which documents are required;

obtaining appropriate authority/consent where required;

ensuring lawful collection;

maintaining accurate records;

configuring appropriate access permissions.

§ 14

14. Customer Data Ownership

The Customer retains ownership of Customer Data submitted to JOY PeopleHR.

For employee information submitted by the Customer, the Customer remains responsible for determining its lawful use and processing.

JOY does not acquire ownership of Customer Data merely because it is stored or processed through the Service.

The Customer grants JOY a limited right to host, store, process, transmit and otherwise handle Customer Data only as reasonably necessary to provide, secure, maintain and improve the Service and as otherwise permitted under the applicable Data Processing Agreement.

§ 15

15. Aggregated and Anonymized Data

JOY may use properly aggregated, anonymized or de-identified information for purposes such as:

analytics;

product improvement;

service optimization;

benchmarking;

reporting;

security;

research and development.

JOY will not represent aggregated or anonymized information as identifying a particular employee where the information has been properly anonymized.

§ 16

16. Intellectual Property

JOY PeopleHR, including its software, source code, object code, interfaces, designs, workflows, branding, documentation, databases, technology and other proprietary components, is owned by or licensed to Joy Corporate Solutions Private Limited.

Except for the limited right to use the Service during an active subscription, no ownership rights are transferred to the Customer.

The Customer must not copy, reproduce, modify, distribute, sell, sublicense or commercially exploit JOY PeopleHR except as expressly permitted in writing.

§ 17

17. Third-Party Services

JOY PeopleHR may use third-party services necessary to provide functionality, including services relating to:

payment processing;

SMS;

email;

WhatsApp;

push notifications;

maps and location services;

cloud infrastructure;

authentication;

analytics;

other technical services.

Third-party services may have their own terms, availability limitations and privacy policies.

§ 18

18. Service Availability

JOY will make reasonable efforts to keep JOY PeopleHR available during normal operations.

However, JOY does not currently provide a formal uptime SLA unless expressly agreed in writing.

The Service may be unavailable because of:

maintenance;

upgrades;

security incidents;

infrastructure failures;

third-party service failures;

internet/network failures;

force majeure events;

governmental action;

circumstances outside JOY's reasonable control.

§ 19

19. Support

Customer support is currently provided during JOY's applicable business hours.

JOY may introduce different support plans or service levels in the future.

§ 20

20. Confidentiality

Each party shall use reasonable measures to protect confidential information received from the other party.

Confidential information does not include information that:

is publicly available without breach;

was already lawfully known;

is independently developed;

is lawfully received from another source;

must be disclosed under law or lawful governmental direction.

§ 21

21. Security

JOY will implement reasonable technical and organizational measures designed to protect Customer Data against unauthorized access, alteration, disclosure, loss or destruction.

No internet-based system can be guaranteed to be completely secure.

The Customer remains responsible for account credentials, authorized-user access and security of its own systems and devices.

§ 22

22. Suspension and Termination by JOY

JOY may suspend or terminate access where:

fees remain unpaid;

the Customer materially breaches these Terms;

the Customer uses the Service unlawfully;

the Customer presents a security risk;

unauthorized access is suspected;

continued operation would violate applicable law;

suspension is necessary to protect JOY, Customers or the Service.

Where reasonably possible, JOY may provide notice before suspension.

Immediate suspension may occur where necessary for security, legal or operational reasons.

§ 23

23. Disclaimer of Warranties

To the maximum extent permitted by law, JOY PeopleHR is provided on an "as available" basis.

JOY does not guarantee that:

the Service will always be uninterrupted;

the Service will be error-free;

every feature will meet every Customer requirement;

every statutory calculation will be correct in every circumstance;

the Service will prevent every security incident;

information generated by the Service will constitute legal, tax, accounting or employment advice.

§ 24

24. Limitation of Liability

To the maximum extent permitted by applicable law, JOY shall not be liable for indirect, incidental, consequential, special or punitive damages, including loss of profits, business interruption, loss of goodwill or loss arising from the Customer's failure to review or verify payroll, attendance or statutory information.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

Any contractual liability limitation applicable to a particular Customer may be separately agreed in writing.

§ 25

25. Indemnification

The Customer agrees to indemnify and hold harmless JOY and its officers, employees and representatives from claims, losses, liabilities and expenses arising from:

unlawful use of the Service;

Customer's breach of these Terms;

unauthorized processing of employee information;

inaccurate information supplied by the Customer;

violation of third-party rights;

Customer's employment, payroll or statutory decisions;

misuse of the Service by Customer users.

§ 26

26. Changes to These Terms

JOY may update these Terms from time to time.

Material changes may be communicated through the Service, website, email or other reasonable means.

Continued use after the effective date of updated Terms constitutes acceptance of the updated Terms, subject to applicable law.

§ 27

27. Governing Law

These Terms are governed by the laws of India.

Subject to the dispute-resolution procedure below, courts having jurisdiction in Coimbatore, Tamil Nadu shall have jurisdiction.

§ 28

28. Dispute Resolution

The parties shall first attempt to resolve disputes through good-faith negotiation.

If negotiation fails, the dispute shall be referred to arbitration in accordance with applicable Indian arbitration law.

The seat and venue of arbitration shall be Coimbatore, Tamil Nadu, unless otherwise agreed in writing.

If arbitration does not resolve the matter or court intervention is legally required, the competent courts in Coimbatore, Tamil Nadu shall have jurisdiction.

§ 29

29. Force Majeure

JOY shall not be responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, governmental restrictions, major internet failures, infrastructure failures, epidemics, strikes or third-party service outages.

§ 30

30. Entire Agreement

These Terms, together with the Privacy Policy, Refund & Cancellation Policy, Data Processing Agreement and any applicable commercial agreement, constitute the agreement governing use of JOY PeopleHR.

If there is a conflict between documents, a separately executed written agreement may take precedence over these standard Terms.

§ 31
